Seed Enterprise Investment Scheme

In his Autumn 2011 statement, Chancellor George Osborne announced a major change in the tax incentives for investors in small businesses. 

On 6th April 2012 the Seed Enterprise Investment Scheme (SEIS) is launched with significant tax saving advantages. It’s described as a specialist tool for investors and entrepreneurs that will aid them in bringing on businesses that might otherwise never gain funding. 

In the publicity for the scheme it is claimed that it will be ideal for fledgling businesses, especially in the digital and creative industries, that need an initial injection of cash to help them get off the ground. The aim being for the UK to support the emergence of a British Google, Twitter or Facebook or equivalent. 

Tax incentives 

The incentive for investors is tax relief both on the money invested but also on the gains made from that investment. 

SEIS operates in a similar manner to the popular Enterprise Investment Scheme, providing income tax and capital gain tax relief for individual investors who subscribe in cash for qualifying shares in suitable companies. 

Qualifying shares include ordinary shares, but also shares that may have certain non-cumulative preferential dividend rights. For shares issued on or after 6th April 2012, an investor who qualifies for relief can claim an income tax reduction equal to 50 per cent of the money invested, subject to an annual investment limit of £100,000. 

The added bonus is that the disposal of any SEIS shares will also be tax exempt, providing a double incentive for investors.
